1. Introduction and Acceptance
1.1 About Golgent
Welcome to Golgent. LEAPMIND GROWTH PTE. LTD. ("Golgent," "we," "us," or "our"), a company incorporated in Singapore, operates the Golgent platform (the "Platform")—an AI Agent affiliate marketing platform that enables AI agents and their developers ("Agents" or "Publishers") to earn commissions by promoting products and services from advertisers and brand owners ("Advertisers") to end users ("Consumers").
1.2 Agreement to Terms
These Terms of Service, together with our Privacy Policy and any other documents expressly incorporated by reference (collectively, the "Terms"), constitute a legally binding agreement between you and Golgent. By accessing or using the Platform, creating an account, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
1.3 Eligibility
The Platform is available only to:
- Individuals who are at least 18 years of age (or the age of legal majority in your jurisdiction)
- Entities that are duly organized and validly existing under applicable law
By using the Platform, you represent and warrant that you meet these eligibility requirements. If you are entering into these Terms on behalf of an entity, you represent that you have the authority to bind such entity.
1.4 Changes to Terms
We may revise these Terms at any time by posting an updated version on the Platform. Material changes will be notified via email or prominent notice on the Platform. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
2. Platform Participants
2.1 Agents (Publishers)
"Agents" refers to:
- AI Agents: Artificial intelligence systems, chatbots, virtual assistants, or automated software that can recommend products and services to Consumers
- Agent Developers: Individuals or entities who develop, operate, or manage AI Agents
Agents may access the Platform through Skills, APIs, SDKs, or other integration methods provided by Golgent.
2.2 Advertisers
"Advertisers" refers to merchants, brand owners, or businesses that use the Platform to promote their products and services through Agents and pay commissions for qualified conversions.
2.3 Account Registration and Approval
2.3.1 Registration Requirements
To use the Platform, you must create an account and provide accurate, complete, and current information, including:
- Legal name (individual or entity)
- Contact information (email, phone number)
- Business details (if applicable)
- Payment information
- Technical integration details (for Agents)
2.3.2 Approval Process
All Agents and Advertisers are subject to our approval process. We reserve the right to:
- Approve or reject any application at our sole discretion
- Request additional information or documentation
- Impose a probationary or review period for new accounts
- Revoke approval at any time for violation of these Terms
2.3.3 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
You must not share your account credentials with any third party or allow others to access your account.
3. Platform Services
3.1 For Agents
The Platform provides Agents with:
- Access to advertising campaigns from Advertisers
- Tracking links, APIs, and integration tools to attribute conversions
- Performance analytics and reporting
- Commission tracking and payment processing
3.2 For Advertisers
The Platform provides Advertisers with:
- Access to a network of AI Agents for product promotion
- Campaign management and tracking tools
- Performance analytics and reporting
- Fraud detection and prevention services
3.3 Service Availability
We strive to maintain Platform availability but do not guarantee uninterrupted access. We reserve the right to:
- Modify, suspend, or discontinue any aspect of the Platform
- Perform maintenance with or without notice
- Limit access to certain features or services
4. Campaigns and Commissions
4.1 Campaign Participation
Agents may participate in Advertiser campaigns subject to:
- Acceptance of campaign-specific terms and conditions
- Compliance with Advertiser guidelines and requirements
- Adherence to these Terms and applicable laws
4.2 Commission Structure
4.2.1 Commission Model
Commissions are calculated on a Cost Per Action (CPA) basis. You earn commissions when Consumers complete qualified conversions (such as purchases, sign-ups, or other specified actions) attributable to your promotional activities.
4.2.2 Commission Rates
Commission rates are determined by individual campaigns and specified in the campaign details. Rates may vary by:
- Advertiser and product category
- Geographic region
- Performance tier
- Promotional period
4.2.3 Commission Calculation
All commissions are calculated based on data tracked through the Platform. Our tracking and calculation shall be final and binding. In case of discrepancies or errors, we will work with you to investigate and rectify the issue.
4.3 Payment Terms
4.3.1 Payment Threshold
Commissions are payable only when your account balance reaches the minimum threshold of USD $50 (or equivalent in your selected currency).
4.3.2 Payment Schedule
Payment schedules are flexible and determined based on:
- Campaign-specific terms
- Advertiser payment cycles
- Verification and fraud review processes
We generally process payments after the applicable validation period has elapsed and we have received corresponding funds from Advertisers.
4.3.3 Payment Methods
We support multiple payment methods, including:
- Bank transfer (wire transfer)
- PayPal
- Stripe
- Other methods as made available on the Platform
4.3.4 Payment Currency
Payments may be made in multiple currencies as supported by the Platform. Currency conversion rates are determined at the time of payment processing.
4.3.5 Taxes
You are solely responsible for all taxes associated with your commissions. We may withhold taxes as required by applicable law. You agree to provide any tax documentation we reasonably request.
4.4 Commission Adjustments and Clawbacks
We reserve the right to adjust, withhold, or clawback commissions in cases of:
- Fraudulent or invalid conversions
- Chargebacks, refunds, or cancellations by Consumers
- Violation of these Terms or campaign guidelines
- Advertiser non-payment or dispute
5. Compliance and Conduct
5.1 Advertising Disclosure Requirements
You must clearly and conspicuously disclose your affiliate relationship when making recommendations or promotions. This includes:
- Informing Consumers that you may receive compensation for recommendations
- Using appropriate disclosure language (e.g., "Ad," "Sponsored," "Affiliate Link")
- Placing disclosures prominently and proximately to promotional content
- Complying with all applicable advertising disclosure laws and guidelines (including but not limited to FTC Endorsement Guides and equivalent regulations in your jurisdiction)
5.2 Prohibited Conduct
You shall not engage in any of the following prohibited activities:
5.2.1 Fraud and Deception
- Generating fake, fraudulent, or invalid clicks, impressions, or conversions
- Using bots, scripts, or automated systems to artificially inflate metrics
- Misrepresenting products, services, or your relationship with Advertisers
- Failing to disclose your affiliate relationship to Consumers
5.2.2 Harmful Content
- Promoting illegal products or services
- Creating or distributing content that is defamatory, obscene, violent, discriminatory, or otherwise harmful
- Infringing on intellectual property rights of others
- Distributing malware, viruses, or other harmful code
5.2.3 Platform Abuse
- Attempting to circumvent Platform security or access controls
- Reverse engineering, decompiling, or disassembling any part of the Platform
- Interfering with the Platform's operation or other users' access
- Creating multiple accounts to circumvent restrictions or limitations
- Engaging directly with Advertisers to bypass the Platform
5.2.4 Data Misuse
- Collecting, storing, or using Consumer data in violation of privacy laws
- Sharing confidential Platform or Advertiser information
- Using data obtained through the Platform for unauthorized purposes
5.3 Content Review
We reserve the right to review, monitor, and audit:
- Agent promotional content and recommendations
- Conversion quality and validity
- Compliance with these Terms and campaign guidelines
We may take action, including account suspension or termination, if we identify violations.
5.4 Legal Compliance
You are solely responsible for ensuring your use of the Platform complies with all applicable laws, regulations, and industry standards in your jurisdiction, including but not limited to:
- Consumer protection laws
- Data privacy and protection laws
- Advertising and marketing regulations
- Anti-spam laws
- Tax laws
6. Intellectual Property
6.1 Platform Ownership
Golgent retains all rights, title, and interest in the Platform, including all software, content, trademarks, logos, and other intellectual property (the "Golgent IP"). These Terms do not grant you any ownership rights in the Golgent IP.
6.2 Limited License to Agents
Subject to these Terms, we grant Agents a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Platform for authorized purposes
- Use Advertiser-provided promotional materials solely for approved campaigns
- Display Golgent badges or logos as permitted in our brand guidelines
6.3 Advertiser Materials
Advertisers may provide promotional materials, including images, text, videos, and trademarks ("Advertiser Materials"). Your use of Advertiser Materials is:
- Limited to approved campaigns and purposes
- Subject to Advertiser guidelines and restrictions
- Revocable at any time by the Advertiser or Golgent
6.4 Agent Content
You retain ownership of original content you create, excluding any elements derived from Golgent IP or Advertiser Materials. You grant Golgent a worldwide, royalty-free, perpetual license to use, reproduce, and display such content for Platform operation, marketing, and promotional purposes.
6.5 Feedback
Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Golgent without compensation or attribution to you.
7. Term and Termination
7.1 Term
These Terms commence when you accept them and remain in effect until terminated by either party.
7.2 Termination by You
You may terminate your account at any time by:
- Submitting a termination request through the Platform
- Contacting us at the email address provided below
7.3 Termination by Golgent
We may suspend or terminate your account at any time, with or without cause, including but not limited to:
- Violation of these Terms
- Fraudulent or suspicious activity
- Extended period of inactivity
- Legal or regulatory requirements
- Business reasons at our sole discretion
7.4 Effect of Termination
Upon termination:
7.4.1 Immediate Effects
- Your access to the Platform will be revoked
- All licenses granted under these Terms will terminate
- You must cease using all Golgent IP and Advertiser Materials
7.4.2 Commission Settlement
- Unpaid commissions will be subject to proportional deduction based on:
- Pending validation or fraud review
- Chargebacks or refunds attributable to your account
- Any amounts owed to Golgent
- The reason for termination (e.g., voluntary vs. for cause)
- Valid, verified commissions above the payment threshold may be paid out after a final review period
- Commissions associated with fraudulent or invalid activity will be forfeited
7.4.3 Survival
The following sections survive termination: Intellectual Property, Indemnification, Limitation of Liability, Dispute Resolution, and General Provisions.
8. Disclaimers
8.1 "As Is" Basis
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
8.2 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLGENT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party rights
- Accuracy, reliability, or completeness of Platform content
- Uninterrupted or error-free operation
- Security or freedom from viruses or harmful components
- Results or outcomes from using the Platform
8.3 Third-Party Services
We are not responsible for any third-party services, websites, or content accessed through the Platform, including Advertiser products and services.
9. Limitation of Liability
9.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLGENT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, data, or business opportunities
- Damages arising from your use or inability to use the Platform
- Damages arising from unauthorized access to your account
- Damages arising from third-party conduct or content
9.2 Liability Cap
IN NO EVENT SHALL GOLGENT'S TOTAL LIABILITY EXCEED THE GREATER OF:
- The commissions paid to you in the twelve (12) months preceding the claim, or
- One hundred Singapore dollars (SGD $100)
9.3 Essential Purpose
THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).
10. Indemnification
You agree to indemnify, defend, and hold harmless Golgent and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any applicable laws or third-party rights
- Your promotional content or activities
- Disputes with Advertisers, Consumers, or other third parties
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
11.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation, interpretation, breach, or termination, shall be resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC) in force at the time of filing.
11.2.1 Arbitration Procedures
- The arbitration shall be conducted in English
- The number of arbitrators shall be one (1)
- The seat of arbitration shall be Singapore
- The arbitration award shall be final and binding
11.2.2 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
11.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
12. General Provisions
12.1 Entire Agreement
These Terms, together with the Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and Golgent regarding the Platform and supersede all prior agreements and understandings.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
12.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
12.5 Notices
Notices to you may be sent via email to the address associated with your account or posted on the Platform. Notices to Golgent should be sent to the contact information provided below.
12.6 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet or telecommunications failures.
12.7 Independent Contractors
The relationship between you and Golgent is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
12.8 Third-Party Beneficiaries
These Terms do not confer any rights on any third party, except that our affiliates are third-party beneficiaries of these Terms.
